1. INTRODUCTION

This Limited Warranty Agreement (“Warranty”) is issued by Hughes Performance, Inc. (“Hughes Performance,” “we,” “us,” or “our”) and applies exclusively to the original retail purchaser (“Purchaser” or “Customer”) of qualifying Hughes Performance products, as outlined herein.

By purchasing a Hughes Performance product, the Customer agrees to be bound by the terms of this Warranty. This Warranty is non-transferable and non-assignable. Hughes Performance reserves the right to amend or revise this Warranty at any time, with or without notice.

2. COVERED PRODUCTS AND WARRANTY DURATION

Subject to the exclusions, conditions, and limitations set forth herein, Hughes Performance warrants the following products against defects in material and workmanship under normal use and service, commencing on the date of retail purchase:

No other products, services, or components are covered unless explicitly stated in writing by Hughes Performance.

3. WARRANTY ACTIVATION REQUIREMENTS

Warranty coverage is conditional upon full compliance with all activation requirements, as set forth below:

• The transmission cooler must be replaced prior to or at the time of product installation.
• Cooler lines must be flushed to remove debris and contaminants; replacement is strongly encouraged.
• The torque converter must be either rebuilt or replaced. The use of an unverified or contaminated torque converter voids this Warranty.
• The Purchaser must obtain a Warranty Registration Number (WR#). They can Register their Warranty HERE or submit the Warranty Registration Card along with:
  • A copy of the purchase invoice
  • Proof of cooler replacement
  • Proof of torque converter replacement or rebuild
  • Proof of cooler line flushing or replacement

Failure to submit valid documentation will result in denial of Warranty activation.

4. WARRANTY LIMITATIONS AND EXCLUSIONS

This Warranty shall not apply and shall be considered void in any of the following circumstances:

• Improper, incorrect, or negligent installation, maintenance, or usage
• Installation with a used torque converter that has not been rebuilt or verified
• Failure to replace the transmission cooler
• Failure to flush or replace transmission cooler lines
• Unauthorized disassembly, tampering, or modification
• Damage or failure caused by accident, abuse, neglect, misuse, contamination, or environmental exposure
• Use of the product in conjunction with incompatible fluids, hardware, or applications
• Acts of God, vandalism, theft, or corrosion
• Use in vehicles for racing, off-road, or commercial purposes where outside the intended specification
• Electrical components are not covered under any circumstances

Labor charges, diagnostic fees, shipping costs, towing, loss of time, loss of use, and consequential or incidental damages are not covered under any part of this Warranty.

5. REMEDY AND CLAIM PROCEDURE

If a product covered by this Warranty fails due to a covered defect, Hughes Performance will, at its sole discretion, either:

1. Repair the product; or
2. Replace the product with a comparable part or assembly.

To initiate a warranty claim, the Customer must:

• Contact Hughes Performance Customer Service at 800-274-RACE, provide their Warranty Registration Number (WR#) to obtain a Return Merchandise Authorization (RMA) number.
• Return the product to Hughes Performance prepaid, with proof of purchase or WR# and all required service documentation.
• Include a detailed explanation of the issue along with any relevant service records.

Repairs are limited to replacement of friction material, gaskets, and seals. Any additional parts damaged due to failures outside the scope of this Warranty will be billed separately.

Hughes Performance reserves the right to inspect the product and to determine the cause of failure and eligibility for warranty service.

6. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law:

• This Warranty is the sole and exclusive remedy for product defects.
• Hughes Performance shall not be liable for special, incidental, consequential, punitive, or indirect damages, including, but not limited to:
  • Lost profits
  • Loss of vehicle use
  • Downtime
  • Rental fees
  • Reinstallation or removal costs
  • Inconvenience
• Hughes Performance’s total liability shall not exceed the original purchase price of the product.

Some states do not allow the exclusion or limitation of incidental or consequential damages, so these limitations may not apply to all purchasers.

7. LEGAL RIGHTS

This Warranty provides specific legal rights. The Customer may also have other rights that vary from state to state. No employee, agent, or representative of Hughes Performance is authorized to extend or modify this Warranty in any manner.

This Warranty shall be governed by the laws of the State of Arizona. Any disputes arising from or related to this Warranty shall be exclusively litigated in courts located in Maricopa County, Arizona.

8. ENTIRE AGREEMENT

This document supersedes all prior warranties, oral or written, express or implied, and constitutes the entire agreement between the parties with respect to warranty coverage.

9. UNCLAIMED OR UNPAID SPECIAL ORDERS

Any cataloged, special order, or custom-built product that remains unpaid and/or unclaimed beyond 90 days from the date of completion shall become the sole property of Hughes Performance. Products that have been paid for but not picked up or shipped within 120 days of completion may be subject to storage fees or disposal at Hughes Performance’s discretion unless prior written arrangements are made. Hughes Performance assumes no liability for loss or damage to such unclaimed items.

10. VEHICLE CONFIGURATION LIMITATION

This Warranty does not cover damage, failure, or reduced performance resulting from: (a) improper vehicle construction or fabrication; (b) incompatible vehicle configurations; (c) poor or unconventional repair techniques; or (d) the use of the product in an application outside of Hughes Performance’s recommended or intended design parameters. It is the sole responsibility of the installer and vehicle owner to ensure compatibility with all components and configurations.
